Term of Use

1. Agreement to Terms
These Terms of Use ("Terms") are a binding agreement between you ("you" or "User") and 1XFreight Inc. ("1XFreight," "we," "us," or "Company"). By accessing or using our applications, software, and services (collectively, the "Products"), you agree to these Terms. If you do not agree with all Terms, do not use the Products.

2. Definitions

• Products: all applications, software, websites, and services provided by 1XFreight.
• Content: all text, graphics, code, designs, databases, and materials included in the Products.
• User Data: information you submit or generate through your use of the Products.
   

3. User Representations & Registration
3.1 Representations: By using the Products, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and will comply with all applicable laws. You will provide accurate, current, and complete information, and update it as needed.
3.2 Registration: You may need to register for an account. Keep your password confidential; you are responsible for all activity under your account. We may reclaim or change usernames at our discretion.

4. Fees, Payment & Cancellation
4.1 Fees: Certain Products require payment. You agree to pay all fees in U.S. dollars, including applicable taxes. We may change prices at any time.
4.2 Billing: By providing payment information, you authorize recurring charges until you cancel. Keep your payment details up to date.
4.3 Cancellation & Refunds: All purchases are non‑refundable. You may cancel your subscription anytime, effective at the end of your current paid term, by contacting us at [email protected].

5. License & Intellectual Property
5.1 Grant: Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Products solely for your internal business purposes.
5.2 Ownership: All Content and software remain our exclusive property or that of our licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works, except as expressly permitted.

6. Prohibited Activities
You agree not to:

• Use the Products for unlawful purposes or to violate any law.
• Access the Products via automation, bots, or scripts without our prior written consent.
• Scrape, harvest, or mine data from the Products.
• Reverse‑engineer or decompile any part of the Products.
• Bypass security features or attempt to gain unauthorized access.
• Compete with us using the Products or any insights derived from them.
• Use the Products outside the United States, Canada, or Mexico.
   

7. Privacy Policy
Our Privacy Policy (available at privacy.1xfreight.com) is incorporated by reference. By using the Products, you consent to our handling of User Data as described therein.

8. Modifications & Termination
8.1 Right to Modify: We may modify, suspend, or discontinue the Products (or any part) at any time without notice.
8.2 Termination: We may terminate or suspend your access for any reason, including breach of these Terms.
8.3 Effect of Termination: Termination does not limit any of our rights or remedies at law or equity.

9. Warranty Disclaimers & Limitation of Liability
9.1 Disclaimers: THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.
9.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE PRIOR THREE MONTHS. WE ARE NOT LIABLE FOR CONSEQUENTIAL OR INDIRECT DAMAGES.

10. Indemnification
You agree to indemnify and hold harmless 1XFreight and its officers, directors, employees, and agents from any claims arising out of your use of the Products or violation of these Terms.

11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada. You consent to exclusive jurisdiction in the courts of Montreal, Quebec.

12. Miscellaneous
These Terms, together with any policies posted on the Products, constitute the entire agreement. We may assign our rights without notice. If any provision is invalid, the remainder will remain in effect.
